Following the successful consolidation of its shareholder structure, Technogaja, a leading air filter manufacturer based in Kaunas District, is entering a new stage of growth. The company plans to accelerate production automation, strengthen operational efficiency, and expand exports in foreign markets, as reported by Verslo žinios.
UAB Technogaja has announced the successful completion of its shareholder restructuring. Following a share transfer transaction, all shares in the company were acquired by Ramūnas Katkevičius, who had previously co-owned the company together with Saulius Jurevičius. The changes have been officially registered with the Register of Legal Entities.
“Over almost twenty years of operation, we have built a strong organisation, a professional team, and solid customer trust. Today, we see even greater growth opportunities, which is why we aim to invest even more rapidly in technology, production automation, process digitalisation and export expansion. Our goal is to become one of the leading filter manufacturers in the Baltic region and a significant market player in Northern and Western Europe,” says Ramūnas Katkevičius, sole shareholder of Technogaja.
The transaction was led by AVERUS
The legal smoothness of the transaction from start to finish was ensured by experienced attorney-at-law and AVERUS mergers and acquisitions expert Mantas Juška. He represented the buyer on all matters related to the transaction – from leading negotiations and structuring the deal to its completion.
Ramūnas thanked his legal partner not only for legal quality, but also for business-oriented, creative solutions and the efficient management of the entire process. This allowed the business owners to focus on strategic rather than procedural decisions.
A new brand chapter – TGFilters
The change in shareholder structure coincides with a significant brand renewal. From now on, UAB Technogaja will operate in public communication and international markets under the name TGFilters. The new name is concise, internationally oriented, and clearly conveys the company’s core area of activity.
The name change reflects the company’s strategic maturity: the growing importance of exports, its ambition to become a recognisable player in the European filtration solutions market, and its determination to build long-term brand value for end customers. The company’s legal form and operations remain unchanged.
A consolidated structure for faster decision-making
The company’s management emphasises that the simplification of the shareholder structure is not merely a formal change. A single-shareholder model enables the company to respond more quickly to market opportunities, direct investments more purposefully, and implement its long-term strategy more consistently.
In the near future, the company will focus strongly on production automation and export expansion. A new logistics complex is also currently under construction, which will increase production capacity, optimise logistics flows and create conditions for further growth.
From a single idea to a Baltic market leader
UAB Technogaja was established in 2006 in the Kaunas District. In 2008, the company became the first in Lithuania to start manufacturing air filters for industrial ventilation systems. Today, TGFilters exports its products to 26 countries, including Germany, France, the Netherlands, the Scandinavian countries, Switzerland, and the United States.
Over the past decade, the company’s revenue has grown more than eightfold – from EUR 1.8 million in 2015 to EUR 14.86 million in 2025. The company currently employs 178 people.
